We had a similar situation, and also with an Italian company. First, we (as coordinator) worked with the Beneficiary to understand how to ask for an UTRO. Contrary to Clara, we were involved in the process since the beginning and were the main contact of the PO. In the meantime, the Beneficiary had their new company validated and a new PIC established. We sent all the documents for the UTRO, but at the last moment, contrary to what the PO said, the EC services decided that they won't accept the UTRO and that we needed a PTRO (partial transfer) instead. Consequently, we had to prepare an amendment through the portal. It took quite a lot of time and energy.
My advice would be to be patient, because indeed the process is not that clear, even for the PO! I would say you should interact with the validation services directly (the one who provided the new PIC) together with the Beneficiary. They are the people managing the acceptance of UTRO (and probably they will ask you a lot of different documents). If I understood well, after the PIC is validated, then the Beneficiary needs to send additional documents to prove that indeed, ALL the rights and obligations (not only related to the European Project) have been transferred. Then, if it is accepted, the validation service will inform the Beneficiary, and the portal will be updated automatically. If not, then you'll have to go through the amendment process.
